Focus:              Detailed presentations covering the powerful tax credits in the new Brownfields Cleanup Program (BCP), including a detailed review of each new credit for listeners who are not tax professionals, review of the tax credits in action through a hypothetical redevelopment project, possible changes to the law, the importance of project planning and timing, and the implications of converting, or failing to convert, from the voluntary cleanup program (VCP) to the BCP before the March 31 deadline.

a.  Tax credit basics. A short review of what a tax credit is and how the new Brownfield credits affect your tax return.

b.  The BCP credits.  A detailed review of each of the new credits for listeners who are not tax professionals.

c.  Issues for Technical Correction.   The BCP legislation contains a number of inconsistencies and leaves several important tax questions open.  This presentation will review the issues that should be addressed by the Legislature in technical corrective legislation.

 

9:45 a.m.         Deal Structure/Practical Applications

                        David Stoner and Robert M. Petrovich, S&W Redevelopment of North America, Inc.; Linda Shaw, Knaupf Shaw LLC and Steven J. Ancona, Flatiron Real Estate Advisors

a.  Hypothetical Brownfield Redevelopment Project.  The first part of the session will posit a hypothetical situation based on a real-world brownfield development project.

b.  Contract Issues. This portion of the program will deal with situations that can arise between the participants in a brownfield development project under the new legislation, including identifying which parties will be entitled to claim the credits and the effect milestones and timing may have on project planning and the availability of the credits.

 

10:45 a.m.       Conversion from VCP to BCP                                                                                  

                        Linda Shaw, Knaupf Shaw LLC (Buffalo) and James J. Periconi, Esq., Periconi LLC (NYC)

Using the hypothetical situation above, this session will identify the implications of converting, or failing to convert, from the voluntary cleanup program (VCP) to the BCP. The cost-benefit analysis underlying the conversion decision involves significant tax and non-tax considerations.

From the New York State Thruway - I-90 (Albany, NY):

Take the NYS Thruway I-90 West to Exit 50 (I-290). Take I-290 to the Millersport Highway North Exit. Continue on Millersport North to North Forest Road.

Turn Left onto North Forest Road (Mobil Gas Station is on the corner) and 1/2 mile on the left is University Inn (just before the traffic light at John James Audubon Pkwy). Turn left into the driveway and continue to the Rotunda Entrance.

 

From the New York State Thruway - I-90 (Erie, PA):
